Diploma Announces Proposed Acquisition Of Peerless Aerospace Fastener For GBP 236 Mln

Diploma Plc, an industrial products and services provider, disclosed plans to acquire Peerless Aerospace Fastener LLC, an aerospace fasteners distributor, for nearly £236 million.

The purchase of Peerless is slated to be finalized in the upcoming weeks, with an opening payment of around £228 million in cash to be made to Polar Holdings Inc.

The remaining 3.5 percent of the payment will be dependent upon Peerless's gross income for the full year of 2027.

Peerless is expected to increase the group income per share by 8 percent during the first year under Diploma's proprietorship.

Diploma's CEO, Johnny Thomson, has expressed his enthusiasm for the deal, stating, "Peerless is a valuable addition for Diploma. It fits perfectly with our aim of establishing scalable, high-quality businesses for sustained organic growth. We are familiar with and appreciate the aerospace fasteners sector, and Peerless considerably enhances our capabilities in the US and expands our scale in Europe. The company is already demonstrating impressive performance, and there are ample opportunities to augment returns by synergizing with our current businesses."

For the year ending on September 30, 2023, Peerless, which is based in Farmingdale, recorded revenues of $107.7 million, with an Earnings Before Interest and Taxes (EBIT) of $33.5 million.

The aerospace fasteners sector represents a highly fragmented market worth approximately $7 billion.

Noteworthy, an aircraft's construction consists of roughly 1 million fasteners, which account for up to 5% of the total build value.
