Masimo Corporation (MASI) has initiated legal action against Politan Capital Management LP in a federal court in California, aiming to compel Politan to rectify significant misstatements and omissions present in Politan's proxy materials.
The lawsuit asserts, among other points, that Quentin Koffey has assisted the plaintiff's legal counsel in litigation against Masimo. Furthermore, Masimo has announced a revised date for its 2024 Annual Meeting of Stockholders, along with a new record date to guarantee that the shareholders' vote is both fair and thoroughly informed.
The Annual Meeting is now rescheduled for September 19, 2024. The postponement was decided by Masimo’s Board of Directors in response to Politan's request to establish a new record date.
Additionally, in compliance with Securities and Exchange Commission rules, Masimo will be conducting a new broker search. Consequently, the updated record date is set for August 12, 2024.
