Vodafone Group Plc (VOD.L, VOD) has released an update concerning the sale of its Italian operations to Swisscom AG. The company highlighted potential risks associated with the transaction, noting that it may not be completed if regulatory approvals are not received. Should the transaction fail to conclude, Vodafone will not gain the anticipated benefits, and the operations and management of Vodafone Italy could experience disruptions. Additionally, Vodafone may face liabilities as stipulated in the transaction documentation.
In a separate update, Vodafone Group provided information on the merger between Vodafone UK and Three UK. This merger is projected to have a largely neutral effect on Vodafone's net debt relative to adjusted EBITDAaL and is expected to enhance adjusted free cash flow starting from the fourth full year onwards. Similar to the sale of its Italian operations, the merger may not proceed if it does not receive the necessary regulatory or CK Hutchison shareholder approvals.
