Ceragon Networks Ltd. (CRNT), a leader in wireless connectivity solutions, announced its definitive agreement to acquire End 2 End Technologies, LLC—an American systems integration and software development firm—for approximately $8.5 million. An additional amount of up to $4.3 million may be paid, contingent upon meeting specified financial targets, primarily in 2025, with payment expected mostly in 2026.
Upon completion of the acquisition, Ceragon plans to finance the transaction using its existing cash reserves and untapped credit lines, while also issuing around 215,000 ordinary shares.
This strategic acquisition is anticipated to boost Ceragon's revenue by $15 million to $19 million in 2025. The company's leadership expects this move to enhance their Private Networks strategy and forecasts the transaction will positively impact adjusted earnings in the latter half of 2025.
The agreement's finalization is subject to customary closing conditions, with Ceragon projecting the deal will be completed by the end of January 2025.
