Silvercorp Metals Inc. and Adventus Mining Corporation have reached a definitive agreement where Silvercorp will purchase all issued and outstanding common shares of Adventus as envisioned in a comprehensive arrangement. Each shareholder of Adventus will receive 0.1015 of a single Silvercorp common share for each share of Adventus. This arrangement estimates the value of each Adventus share at C$0.50, making the total equity value of the transaction close to C$200 million. Following the conclusion of this deal, existing Silvercorp and Adventus shareholders will respectively possess about 81.6% and 18.4% of the outstanding Silvercorp shares.
Furthermore, both Silvercorp and Adventus have settled upon an investment agreement. According to this, Silvercorp will secure 67,441,217 Adventus shares at an issuance price of C$0.38 per share. Following the completion of this placement, Silvercorp will own roughly 15% of all issued and outstanding shares of Adventus.
