Hikma Pharmaceuticals (HIK, HIK.L) has reached an agreement with Xellia Pharmaceuticals to acquire segments of Xellia’s U.S. finished dosage form business and assets. This includes a commercial portfolio, a pipeline of differentiated products, a manufacturing facility in Cleveland, Ohio, sales and marketing capabilities, and an R&D center in Zagreb, Croatia. The transaction involves a cash payment of $135 million, with an additional contingent consideration of up to $50 million. This acquisition will bolster Hikma's U.S. portfolio with eight approved and marketed injectable products and 11 pipeline products.
Hikma Pharmaceuticals anticipates that the acquisition will be neutral to Group core earnings in the first 12 months post-closing and accretive thereafter, providing significant long-term benefits.
